1. Acceptance of These Terms

These Terms of Use (“Terms“) govern your access to and use of therealtybulls.com (the “Site“), including our property search tools, blog and articles, Worksheet and Platinum Access request forms, account registration, and the Virtual Office Website (“VOW“) through which Multiple Listing Service® (“MLS®“) data is made available. By accessing the Site, creating an account, or clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or register for the VOW.

2. About Us

The Site is operated by The Realty Bulls Brokerage, a real estate brokerage registered under the Trust in Real Estate Services Act, 2002 (Ontario) (“TRESA“) and regulated by the Real Estate Council of Ontario (“RECO“, RECO Registration No. 4791593), located at 6660 Kennedy Rd S #209, Mississauga, ON L5T 2M9, Canada. Real estate brokerage services on the Site are provided by registered salespersons and brokers of The Realty Bulls Brokerage in accordance with TRESA and RECO’s Code of Ethics. See Section 21 for important information about who The Realty Bulls Brokerage represents, including in respect of builders and developers featured on the Site.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to register for an account, submit a Worksheet, request Platinum Access, or otherwise transact with us through the Site. By using the Site, you represent that you meet these requirements.

4. No Real Estate, Legal, Financial, Tax, or Investment Advice

Content on the Site — including articles, market commentary, project information, floor plans, pricing, and incentive details — is provided for general informational purposes only and does not constitute real estate, legal, financial, tax, or investment advice. Real estate, and pre-construction real estate in particular, involves risk, and past performance or projected returns are not guaranteed. You should not rely on Site content as a substitute for advice from a licensed real estate salesperson or broker, lawyer, accountant, or financial advisor familiar with your specific circumstances. Nothing on the Site creates a brokerage, agency, or representation relationship except as set out in a separate written agreement (including, for VOW users, Section 9 below). Nor does anything on the Site create a brokerage, agency, or representation relationship between you and any builder or developer featured on the Site — see Section 21.

5. Accuracy of Information; No Warranty

We try to keep information on the Site accurate and current, but pricing, availability, incentives, floor plans, renderings, square footage, and project details are supplied in large part by third parties (including builders and developers), are subject to change without notice, and are not guaranteed. All information is deemed reliable but not guaranteed and should be independently verified before you rely on it. Images and renderings are for illustrative purposes only and may not reflect final specifications (“E. & O.E.” — errors and omissions excepted).

6. Intellectual Property and Trademarks

Unless otherwise indicated, all text, graphics, logos, images, and other content on the Site are owned by or licensed to The Realty Bulls Brokerage and are protected by Canadian and international copyright and trademark laws. You may view and print Site content for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.

The trademarks MLS®, Multiple Listing Service®, and the associated logos are owned or controlled by the Canadian Real Estate Association (“CREA“) and identify real estate professionals who are members of CREA and the quality of services they provide. REALTOR®, REALTORS®, and the REALTOR® logo are certification marks owned by CREA. These and other third-party trademarks appearing on the Site (including those of TRREB and PropTx) are used with permission or under licence, where applicable, and remain the property of their respective owners.

7. Accounts and Registration

If you create an account on the Site, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

8. General Acceptable Use

In addition to the VOW-specific rules in Section 9, you agree not to use the Site to:

• violate any applicable law or regulation;
• impersonate any person or misrepresent your affiliation with a person or entity;
• transmit viruses, malware, or other harmful code, or interfere with the proper functioning of the Site;
• collect or harvest personal information about other users, including email addresses, for unsolicited communications;
• attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems; or
• use any automated means (bots, scrapers, crawlers) to access the Site except as permitted by Section 9(4) or with our prior written consent.

9. VOW / MLS® Data Terms

Where you register for and use our Virtual Office Website, the following additional terms apply and govern your access to MLS® data:

(1) Broker-Consumer Relationship. By registering for and using the VOW, you acknowledge that you are entering into a lawful broker-consumer relationship with The Realty Bulls Brokerage.

(2) Personal, Non-Commercial Use Only. All MLS® data obtained through the VOW is for your personal, non-commercial use only. You represent that you have a bona fide interest in the purchase, sale, or lease of the type of real estate offered through the VOW.

(3) No Redistribution. You will not copy, redistribute, retransmit, or otherwise use any data or listing information provided, except in connection with your own consideration of the purchase, sale, or lease of an individual property. You will not display, post, disseminate, distribute, publish, broadcast, transfer, sell, or sublicense any listing information to any other individual or entity.

(4) No Scraping or Data Harvesting. Prohibited uses expressly include “scraping” (including “screen scraping” and “database scraping”), “data mining,” and any other activity intended to collect, store, re-organize, summarize, or manipulate listing information or related data.

(5) Ownership and Copyright. You acknowledge the ownership by PropTx and the Toronto Regional Real Estate Board (“TRREB“) of, and the validity of their proprietary rights and copyright in, the MLS® database, MLS® data, the MLS® System, and all listing information. All such content is deemed reliable but is not guaranteed accurate and should be independently verified.

(6) Compliance Monitoring. You authorize PropTx, TRREB, and other members or their duly authorized representatives to access the VOW to verify compliance with the MLS® Rules and Policies (including the VOW Rules) and to monitor the display of members’ listings.

(7) Accounts, Passwords, and Access. You must provide your name and a valid email address, which must be verified before VOW access is granted. Your account credentials are personal to you and may not be shared. Passwords are valid for up to 90 days, after which they must be renewed or reconfirmed, and sessions end automatically after a period of inactivity. The VOW does not provide, and does not claim to provide, full access to PropTx’s MLS® System.

(8) No Financial Obligation. VOW registration does not impose any financial obligation on you and does not create any representation or agency agreement between you and The Realty Bulls Brokerage, except as set out in Section 9(1).

(9) Privacy. Your personal information is handled in accordance with our Privacy Policy, which forms part of these Terms. Personal information you provide may be shared with PropTx and TRREB for auditing, compliance, and legal purposes.

By clicking to accept, you acknowledge that you have opened, read, and agree to this Section 9.

10. Worksheets, Platinum Access, and Pre-Construction Requests

Submitting a Worksheet or requesting Platinum Access is a request for information and priority access to pre-construction opportunities. It is not an offer, reservation, or contract to purchase, does not guarantee allocation of any unit, and does not create any financial obligation. Any purchase of a pre-construction unit will be governed by a separate written Agreement of Purchase and Sale with the applicable builder/developer, and, where applicable, a separate representation agreement with The Realty Bulls Brokerage.

11. Third-Party Links and Services

The Site may link to or integrate third-party websites, tools, or services (including builder websites, mortgage calculators, and social media platforms) that we do not control. We are not responsible for the content, accuracy, or privacy practices of any third-party site, and inclusion of a link does not imply endorsement.

12. Accessibility

The Realty Bulls Brokerage is committed to providing a Site that is accessible to all users, consistent with our obligations under the Accessibility for Ontarians with Disabilities Act, 2005 (“AODA“). 13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR PROTECTION THAT CANNOT BE EXCLUDED UNDER APPLICABLE ONTARIO OR CANADIAN CONSUMER PROTECTION LAW.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE REALTY BULLS BROKERAGE, ITS BROKERS, SALESPERSONS, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE VOW, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE EXCLUDED BY LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILFUL MISCONDUCT.

15. Indemnification

You agree to indemnify and hold harmless The Realty Bulls Brokerage and its brokers, salespersons, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site or the VOW.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any dispute arising out of or relating to these Terms or your use of the Site.

17. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above indicates when these Terms were last revised. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. Where required by the MLS® Rules and Policies or the VOW Rules, we will obtain renewed acceptance of Section 9 from VOW users.

18. Termination

We may suspend or terminate your access to the Site or the VOW at any time, with or without notice, for conduct that we believe violates these Terms or applicable law, or for any other reason at our discretion. Sections that by their nature should survive termination — including those addressing intellectual property, agency disclosures and our relationship with builders and developers, relationship of the parties, disclaimers, limitation of liability, indemnification, governing law, and no waiver — will survive, along with this Section 18.

19. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreement you enter into with The Realty Bulls Brokerage (such as a Buyer Representation Agreement), constitute the entire agreement between you and us regarding your use of the Site and the VOW.

21. Relationship with Builders, Developers, and Other Parties (Agency Disclosure)

The Realty Bulls Brokerage and its salespersons and brokers act on behalf of, and represent, purchasers and buyers in connection with the pre-construction, resale, assignment, and other real estate opportunities featured on the Site, under a separate written Buyer Representation Agreement or other representation agreement, where applicable. The Realty Bulls Brokerage does not represent, and is not the agent of, any builder, developer, or vendor whose projects, units, or listings are featured, referenced, or linked on the Site, unless that representation is expressly and separately disclosed to you in writing in accordance with TRESA and RECO’s Code of Ethics.

Builders and developers maintain their own sales representatives, discloser brokerages, and/or on-site sales teams, who represent the builder’s or developer’s interests, not yours. Any commission, referral fee, or other compensation The Realty Bulls Brokerage may receive from a builder or developer in connection with a co-operating brokerage arrangement does not change this Section 21 and does not make The Realty Bulls Brokerage the representative or agent of that builder or developer; such compensation arrangements, where applicable, will be disclosed to you in accordance with TRESA.

Nothing on the Site, and no project details, floor plans, pricing, incentives, or other information provided by or on behalf of a builder or developer, should be understood as advice from, or a representation made by, The Realty Bulls Brokerage on that builder’s or developer’s behalf.

22. Relationship of the Parties

Except for the broker-consumer relationship described in Section 9(1) for VOW users, or as set out in a separate written representation agreement, nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and The Realty Bulls Brokerage. Nor does anything in these Terms create a partnership, joint venture, agency, or employment relationship between The Realty Bulls Brokerage and any builder, developer, or other third party referenced on the Site. The Realty Bulls Brokerage and any such builder or developer operate as independent parties, and neither is the agent, partner, franchisee, or joint venturer of the other.

23. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from causes beyond our reasonable control, including natural disasters, acts of government, labour disputes, internet or telecommunications failures, power outages, or cyberattacks.

24. Notices

We may give you notices under these Terms by posting them on the Site or by email to the address associated with your account. You may send us notices using the contact details in Section 27.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of some or all of our business assets, or as otherwise permitted by law.

26. No Waiver

Our failure to enforce any provision of these Terms will not be considered a waiver of our right to enforce that or any other provision later.
